Terms of Service

Welcome to Captiva AI (“Captiva,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Captiva website, platform, analytics tools, dashboards, AI systems, and related services (collectively, the “Services”).

By creating an account, subscribing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

‍1. Eligibility

By using the Services, you represent that you meet these requirements and that the information you provide is accurate.

‍2. Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your login credentials
Notify us immediately of any unauthorized access
Be responsible for activities that occur under your account
We are not liable for any loss or damage arising from unauthorized use of your account.

‍3. Services Provided

Captiva AI provides software and services that help organizations:

Analyze how AI systems describe and rank their brand
Access prompt testing, visibility metrics, and model-specific insights
Identify sources, references, and content gaps
Receive recommendations, action plans, or automated optimizations
Track brand performance, sentiment, and model accuracy
Use automation and agentic tools for content, reporting, or insight generation

Captiva may evolve, update, or modify features at any time.

We may offer:

Free trials
Subscription tiers
Usage-based or enterprise pricing
Managed services or consulting engagements

Any consulting or service work beyond standard platform capabilities may be subject to a separate agreement.

‍4. Acceptable Use

You agree not to:

Use the Services for unlawful, harmful, or fraudulent activity
Reverse engineer, modify, or access the platform in unauthorized ways
Interfere with system integrity or security
Use the Services to process sensitive personal data without proper permissions
Upload harmful code, spam, or automated scripts
Use the Services to train a competing AI product or perform model extraction
Abuse rate limits, API access, or platform resources
Violation may result in suspension or termination.

‍5. User Content

‍
“User Content” refers to any data, text, URLs, files, or materials you submit, analyze, or connect with Captiva.

You retain ownership of your User Content.

You grant Captiva a limited, worldwide, revocable license to:

Process, analyze, store, and display User Content
Generate insights, dashboards, and reports
Improve the functionality and accuracy of your account
Provide customer support
We do not use your User Content to train public large language models.

You are responsible for the legality, accuracy, and rights associated with User Content.

‍6. AI Processing and Model Interactions

Captiva uses machine learning systems and third-party AI APIs (including but not limited to OpenAI, Anthropic, Google, xAI and others) to generate insights.

By using our Services, you acknowledge that:

AI-generated output may be inaccurate or incomplete
You should review results before acting on them
Captiva is not liable for decisions made based on AI predictions, recommendations, or analyses
Third-party AI providers may temporarily process data as necessary to generate output, subject to their own terms
You are responsible for ensuring your organization’s compliance with any applicable data governance or regulatory requirements.

‍7. Subscription Plans and Billing

7.1 Billing

Paid plans require a valid payment method. Subscriptions may be billed:

Monthly
Annually

As agreed in an enterprise contract

Payments are processed securely through our payment providers.

‍7.2 Renewals

‍
Subscriptions automatically renew unless canceled.

You may cancel at any time, but no refunds are provided for the remaining billing period.

‍7.3 Changes to Pricing

‍
We may update pricing. If so, we will notify you in advance, and changes will take effect on the next renewal.

‍8. Managed Services and Enterprise Work

‍
If you engage Captiva for additional services—such as:

AEO consulting
Content or technical optimization
Reporting or analysis
Custom integrations
Strategic advisory—those may require a separate Statement of Work (SOW).

In such cases, the SOW terms supersede these Terms where explicitly stated.

‍9. Confidentiality

‍
Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of using the Services.

Confidentiality obligations do not apply to information that:

Is publicly available
Was lawfully obtained from a third party
Was independently developed without reference to confidential information
Must be disclosed by law

‍10. Intellectual Property

‍
Captiva AI retains all rights to:

Software
Dashboards and visualizations
Proprietary algorithms
Data models
Website content
Branding and trademarks

Except for the limited license granted to you, nothing in these Terms transfers ownership or IP rights to you.

‍11. Termination

‍
We may suspend or terminate your access if:

You violate these Terms
You fail to pay subscription fees
Your use poses security or operational risksWe discontinue the Services
You may terminate your account at any time by contacting support.

Upon termination:

Your access is revoked
We may retain certain data as required by law
You may request account data export before closure

‍12. Disclaimers

The Services are provided “as is” without warranties of any kind, including:

Fitness for a specific purpose
Accuracy or completeness of AI-generated content
Error-free or uninterrupted performance
Compliance with your internal policies
Captiva does not guarantee specific outcomes, rankings, or commercial performance.

‍13. Limitation of Liability

‍
To the fullest extent permitted by law:
Captiva is not liable for indirect, incidental, punitive, or consequential damages
Our total liability is limited to the amount paid by you in the previous 3 months

‍
We are not responsible for decisions based on AI output or analytics. Some jurisdictions do not allow limitations, so these may not apply to you.

‍14. Indemnification

‍
You agree to indemnify and hold Captiva harmless from claims, losses, or liabilities arising from:

Your misuse of the Services
Your violation of these Terms
User Content infringing third-party rights
Noncompliance with applicable laws or regulations

‍15. Third-Party Links and Integrations

‍
The Services may integrate with third-party tools.

Captiva is not responsible for:

Their availability
Their data practices
Their reliability

You should review their terms and policies before enabling integrations.

‍16. Modifications to the Services or Terms

‍
We may update these Terms periodically. Updates become effective once posted. If changes are material, we will notify you via email or in-app notice.

Continued use of the Services constitutes acceptance of the updated Terms.
